FCT Engine End User License Agreement (EULA)

1. Agreement to Terms
By installing or using FCT Engine (“Software”), you agree to comply with and be bound by the terms and conditions of this End User License Agreement (“Agreement”).
2. License Grant
FC Technologies grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software solely for your personal or internal business purposes strictly in accordance with the terms of this Agreement.
3. Restrictions
You agree not to, and you will not permit others to:
- License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software or make the Software available to any third party.
- Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Software.
- Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of FC Technologies or its affiliates, partners, suppliers, or the licensors of the Software.
4. Intellectual Property
The Software, including without limitation all copyrights, patents, trademarks, and trade secrets therein, is and shall remain the sole and exclusive property of FC Technologies.
5. Updates and Maintenance
FC Technologies may provide enhancements or improvements to the features/functionality of the Software, which may include patches, bug fixes, updates, upgrades, and other modifications (“Updates”). You agree that FC Technologies has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality of the Software.
6. Term and Termination
This Agreement shall remain in effect until terminated by you or FC Technologies. FC Technologies may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
7. Disclaimer of Warranties
The Software is provided “AS IS” and “AS AVAILABLE” with all faults and without warranty of any kind. To the maximum extent permitted under applicable law, FC Technologies, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Software. This includes but is not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. FC Technologies does not guarantee that the Software will be compatible with any third-party products or services, or that any support will be available for such compatibility.
8. Limitation of Liability
Notwithstanding any damages that you might incur, the entire liability of FC Technologies and any of its suppliers under any provision of this Agreement and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you for the Software. To the maximum extent permitted by applicable law, in no event shall FC Technologies or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, for loss of data or other information, for business interruption, for personal injury, for loss of privacy arising out of or in any way related to the use of or inability to use the Software, third-party software and/or third-party hardware used with the Software, or otherwise in connection with any provision of this Agreement), even if FC Technologies or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Lithuania, without regard to its conflict of law principles.
